Terms of Service

1. Parties and acceptance

These Terms form an agreement between Punasaari Research, Vantaa, Finland (“we”, “us”) and the person or organization using Somemind AI (“Customer”, “you”). By creating an account, accepting a workspace invitation, purchasing a plan or using the service, you agree to these Terms.

The service is intended principally for businesses and professionals aged 18 or older. If you use it for an organization, you confirm that you are authorized to bind that organization. Mandatory consumer rights, where applicable, are not limited by these Terms.

2. The service

Somemind AI provides tools for content ideation, AI-assisted captions and media, media management, approvals, scheduling, publishing and performance analysis. Facebook and Instagram features depend on Meta's APIs; TikTok features depend on TikTok's Login Kit and Content Posting API. Each integration also depends on your account type, permissions and the platform's approval status.

Features labeled beta, preview, experimental or coming soon may be incomplete, changed or withdrawn. We do not promise delivery dates for coming-soon platforms.

3. Accounts and workspaces

• Provide accurate registration and billing information and keep it current.
• Protect credentials, use appropriate access controls and promptly report suspected compromise.
• Workspace owners control invitations, roles, connected accounts and content. You are responsible for actions by users you authorize.
• Do not share access outside your organization or plan limits, circumvent technical restrictions, or create accounts to evade enforcement.

4. Meta accounts and permissions

When connecting Facebook, Instagram or TikTok, you authorize Somemind AI to use the permissions you approve to identify the connected account, publish requested content and retrieve information made available by that platform.

• You must have authority to manage every connected Page or account.
• You remain responsible for compliance with Meta Platform Terms, applicable policies, community standards and content rules.
• Meta may restrict, review, suspend or change its APIs at any time. We are not Meta and cannot guarantee platform approval, reach, delivery or account availability.
• You can disconnect accounts in Settings and revoke the app in Facebook's Apps and Websites settings.

5. Plans, trials and payment

• Plans, limits, billing intervals and current prices appear on the pricing page and checkout.
• Subscriptions renew automatically for the selected interval unless cancelled before renewal.
• Stripe processes payments. Taxes may be added where required.
• A one-week Starter trial is available only through a valid trial code issued by Punasaari Research. It does not start automatically and does not apply to other plans.
• Promotional codes are personal to their intended campaign, subject to stated limits and may not be resold.
• Cancellation normally takes effect at the end of the paid period. Fees already charged are non-refundable except where required by law or expressly agreed.
• Failed payments may result in a limited grace period followed by suspension of paid features.

6. Customer content and AI output

You retain rights you hold in content submitted to the service. You grant us a limited, non-exclusive right to host, transform, analyze and transmit that content solely to provide, secure and improve the contracted service.

AI output can be inaccurate, unsuitable, repetitive or similar to output generated for others. You must review facts, claims, rights, disclosures and platform suitability before publication. You are the publisher and remain responsible for all content published from your connected accounts.

Do not submit personal, confidential or special-category data to AI features unless it is necessary, lawful and appropriately authorized.

7. Acceptable use

You must not use the service to:

• violate law, sanctions, intellectual-property rights, privacy rights or platform policies;
• publish deceptive, defamatory, hateful, exploitative or unlawful content;
• distribute malware, phishing, credential theft or harmful code;
• probe, scan, attack or bypass security except under our written authorization and agreed testing scope;
• scrape, reverse engineer or overload the service beyond rights granted by mandatory law;
• misrepresent affiliation with Meta or any other platform.

We may remove content, restrict features or suspend access where reasonably necessary to protect users, platforms, the service or third parties.

8. Intellectual property and feedback

The service software, interface, documentation and Somemind AI branding belong to Punasaari Research or its licensors. These Terms grant only a limited, revocable, non-transferable right to use the service during your subscription. Feedback may be used without restriction or payment, but we will not identify you publicly without permission.

9. Privacy and data processing

Our Privacy Policy explains controller processing. Where we process personal data on a Customer's documented instructions, the DPA described on the GDPR & DPA page applies. Meta-related deletion instructions are available at /datadeletion.

10. Availability and changes

We aim to provide a reliable service but do not guarantee uninterrupted availability, publication at an exact time, or continued availability of any third-party API. Maintenance, security incidents, provider outages, platform reviews and force-majeure events can affect service.

We may change features and these Terms. Material adverse changes will be communicated in advance where reasonably possible or legally required. If you do not accept a material change, you may stop using the service and cancel before it takes effect.

11. Suspension and termination

You may cancel and request deletion through the available account controls. We may suspend or terminate access for material breach, unlawful activity, security risk, non-payment or platform requirements. Where practical, we will provide notice and an opportunity to remedy.

On termination, access ends and data is handled according to the Privacy Policy, DPA, deletion request and legal retention obligations.

12. Warranties and liability

To the maximum extent permitted by applicable law, the service is provided “as available”. We do not warrant that AI output is accurate, that third-party platforms will accept or deliver content, or that the service will be error-free.

Neither party is liable for indirect or consequential losses that were not reasonably foreseeable. Our aggregate liability arising from the service is limited to fees paid for the affected service during the 12 months before the event giving rise to the claim. These exclusions do not apply where liability cannot lawfully be excluded, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or mandatory consumer protection.

13. Governing law and disputes

Finnish law governs these Terms, excluding conflict-of-law rules. Business disputes are subject to the competent courts of Finland. This does not deprive an eligible consumer of mandatory rights or the right to bring proceedings in a competent consumer forum.
